Methix Terms of Service

Welcome to Methix. These Terms of Service ("Terms") are a legal agreement between you and Methix, Inc., a Delaware corporation ("Methix," "we," "us," or "our"). They govern your access to and use of mymethix.com, the Methix mobile and web applications, and all related services, features, and content we make available (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

You should also read our Privacy Policy and Acceptable Use Policy, which are part of this agreement.

1. Who Can Use Methix

You must be at least 18 years old to use Methix. By creating an account, you confirm you are 18 or older. If we learn that someone under 18 has created an account, we will terminate it.

You may only create an account for yourself. You are responsible for everything that happens under your account, including for keeping your password secure. If you think someone else is using your account, contact us immediately at hello@mymethix.com.

You must provide accurate information when you sign up, and keep it up to date.

2. What Methix Is

Methix is an artist-development platform for independent musicians. Through the Service, you may have access to features including:

  • Arna, an industry advisor powered by AI that delivers Methix's human-curated music expertise through a conversational interface.
  • Roadmap, a personal goal-tracking surface for your career milestones.
  • Studio, a live A&R listening room where you can submit tracks for feedback.
  • Community, a discussion feed for Methix subscribers to share posts, events, and updates.
  • Replay, recorded sessions and other content we publish on the platform.

We may add, change, or remove features over time. We will give you reasonable notice if a change materially reduces what you get from the Service.

3. About Arna

Arna is Methix's industry advisor. She is powered by artificial intelligence, which means when you chat with Arna, you are interacting with software, not a human being. Arna combines enterprise AI infrastructure operated by Microsoft with a knowledge library that Methix human-curates. The expertise in Arna comes from Methix; AI is how it reaches you.

Arna can be wrong. AI assistants sometimes produce information that is inaccurate, out of date, or doesn't fit your situation. Arna is for informational purposes only and is not a substitute for professional advice — including legal, financial, tax, medical, or career advice. Always verify important information before acting on it.

We do not use your conversations with Arna to train AI models. See our Privacy Policy for details on how your conversations are handled.

4. Beta Status

The Service is currently offered in beta. This means:

  • Features may change, be added, or be removed without notice.
  • Some parts of the Service may not work correctly or may be unavailable at times.
  • We may need to perform maintenance that temporarily interrupts access.
  • The Service is provided "AS IS" and "AS AVAILABLE" — see Section 11.

You should not rely on the Service as the sole source of any business-critical information or decision while it is in beta (or thereafter).

5. Subscriptions, Payments, and Cancellation

Methix is offered as a paid subscription. By starting a subscription you agree to pay the listed price for the plan you select.

Billing. Payment is processed by Stripe, Inc., our payment processor. Your subscription will automatically renew on a recurring basis at the then-current price until you cancel. You can review current pricing in the Service before subscribing.

Cancellation. You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. After cancellation, you will retain access to paid features until the end of the period you have already paid for.

Refunds. We do not provide refunds for partial billing periods, except where required by law. If you believe you have been billed in error, contact us at hello@mymethix.com and we will review your request in good faith.

Price changes. We may change subscription prices. We will give you at least 30 days' notice before any price change takes effect for you, and you may cancel before the new price applies.

Failed payments. If a payment fails, we may suspend your access to paid features until the issue is resolved. We may also terminate accounts with prolonged unpaid balances.

6. Your Content

You may submit content to the Service, including audio tracks, written posts in Community, notes, profile information, messages to Arna, and other materials (together, "Your Content").

You own Your Content. Methix does not claim ownership of the music, ideas, posts, or other content you create or upload.

License to operate the Service. To run the Service, we need a limited license to host, store, display, transmit, and process Your Content. By submitting Your Content, you grant Methix a worldwide, non-exclusive, royalty-free license to use Your Content solely for the purpose of operating, providing, and improving the Service for you and other users you choose to share it with (for example, displaying your Community post in the Community feed, playing your Studio submission in a session you chose to enter, or showing your profile to admins who review the platform for quality).

This license ends when you delete the content or your account, except: (a) where we have already shared the content with other users (those users may retain copies of what they have seen), and (b) where we are legally required to retain records.

You may not take or redistribute other users' content. When you see another Methix user's content on the platform — their music, posts, photos, ideas, bio, or anything else — you receive only the limited right to view it within the Service. You may not copy, download, screenshot, repost, or use it elsewhere without that user's explicit permission. Our Acceptable Use Policy spells out the details. The same rule protects you: every other Methix user agrees to these terms too.

We will not:

  • Sell or license Your Content to third parties
  • Use Your Content to train artificial-intelligence models
  • Distribute, publish, or commercially exploit Your Content outside the Service
  • Use Your Content for advertising

When you upload content, you are responsible for confirming that:

  • You own it, or have all rights and permissions necessary to upload it
  • It does not infringe anyone else's intellectual-property rights, privacy, or other rights
  • It does not violate any law or our Acceptable Use Policy
  • For music: you own or have the right to use every component (your vocal, the instrumental, samples, etc.) you upload

If you upload music or other content you do not have the right to share, you are responsible, and we may remove the content and suspend your account.

7. Methix's Intellectual Property

Methix and its licensors own the Service, including the platform, software, knowledge library, designs, brand name, logo, and all other materials we provide. Nothing in these Terms transfers any of those rights to you.

You may not:

  • Copy, modify, reverse-engineer, decompile, or create derivative works of the Service
  • Scrape, harvest, or extract data from the Service in bulk
  • Resell, sublicense, or commercially exploit any part of the Service
  • Remove or alter any copyright, trademark, or other proprietary notices

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal music career development, in accordance with these Terms.

8. Acceptable Use

You must follow our Acceptable Use Policy, which is part of these Terms. Among other things, you may not use the Service to break the law, harass other users, infringe rights, or interfere with how the Service works. Violations may result in suspension or termination of your account.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what data we collect, how we use it, who we share it with, and your rights regarding your data.

10. Suspension and Termination

By you. You may close your account at any time from your account settings, or by emailing hello@mymethix.com.

By us. We may suspend or terminate your access to the Service if you violate these Terms, the Acceptable Use Policy, or applicable law; if your account creates legal risk for Methix or other users; if your payments fail; or if we discontinue the Service. We will provide notice and a reasonable opportunity to fix the issue when we can.

What happens after termination. Your right to use the Service ends immediately. Sections of these Terms that are intended to survive termination (including Sections 6, 7, 11, 12, 13, and 14) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, METHIX AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT INFORMATION PROVIDED THROUGH THE SERVICE (INCLUDING THROUGH ARNA) WILL BE ACCURATE, COMPLETE, OR RELIABLE.

ARNA IS AN AI SYSTEM. ITS OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE FOR YOUR SITUATION. METHIX DOES NOT PROVIDE LEGAL, FINANCIAL, TAX, MEDICAL, OR OTHER PROFESSIONAL ADVICE. ALWAYS VERIFY IMPORTANT INFORMATION BEFORE ACTING ON IT.

NO ORAL OR WRITTEN STATEMENT FROM METHIX OR ITS REPRESENTATIVES CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

(a) METHIX AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF METHIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) METHIX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) $100 OR (ii) THE AMOUNT YOU PAID METHIX IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless Methix, its officers, employees, and agents from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or the law, or (c) your violation of any third party's rights, including intellectual-property or privacy rights.

We may take over the defense of any claim subject to indemnification, in which case you will cooperate with us. You may not settle any claim without our prior written consent.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The federal and state courts located in Delaware will have exclusive jurisdiction over any disputes arising out of or related to these Terms or the Service, and you consent to the personal jurisdiction of those courts.

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

15. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify you (for example, by email or through the Service) before it takes effect. The "Last updated" date at the top reflects the most recent change. Your continued use of the Service after a change becomes effective means you accept the updated Terms.

16. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between you and Methix regarding the Service, and replace any prior agreements.

No waiver. If we don't enforce a provision of these Terms, that doesn't waive our right to enforce it later.

Severability. If any provision of these Terms is held to be unenforceable, the rest of the Terms remain in effect.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of our business.

Notice to Methix. Any legal notice to Methix must be sent in writing to hello@mymethix.com.
